Terms of Service

1. Who we are

PayAppCheck ("PayAppCheck", the "Service", "we", "us", "our") is operated by Ludvig Bergerud, a sole trader (enskild firma) registered in Sweden, operating the website payappcheck.com. Our registered business address is Lilla Bergaliden 1, 252 23 Helsingborg, Sweden, and you can reach us at [email protected]. By creating an account, subscribing to, or otherwise using the Service, you ("you", "Customer", "User") agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Order process and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
This means that when you purchase a subscription or API access, you buy the product from Paddle, and the product is licensed to you by Ludvig Bergerud. Invoices and receipts are issued by Paddle as reseller and Merchant of Record. Ludvig Bergerud does not invoice buyers directly and never receives, processes, or stores your payment card details. Refunds are requested from and processed by Paddle in accordance with our Refund Policy. Your purchase is also subject to the Paddle Buyer Terms (paddle.com/legal/buyer-terms) and the Paddle Privacy Policy (paddle.com/legal/privacy). The first time you receive an invoice from Paddle you may be asked to accept Paddle's terms as reseller of our products.

3. The Service

PayAppCheck is a hosted software-as-a-service application that extracts data from US construction payment documents, specifically AIA Document G702 (Application and Certificate for Payment) and AIA Document G703 (Continuation Sheet), and performs automated arithmetic checks on that data. The Service:
(a)
extracts line items and figures from uploaded documents;
(b)
verifies that line items sum to stated totals;
(c)
checks retainage calculations;
(d)
verifies the G703-to-G702 cross-form tie (the G703 Continuation Sheet totals that carry forward to the G702 summary, consistent with standard AIA payment-application practice);
(e)
flags potential over-billing and front-loading; and
(f)
outputs results in Excel, CSV, or JSON format.
We also offer an application programming interface ("API") that provides the same functionality programmatically to developers.
Trademark notice. AIA Document G702®-1992, Application and Certificate for Payment, and G703-1992, Continuation Sheet, are standard forms on which a contractor can apply for payment and an architect can certify that payment is due. "The American Institute of Architects," "AIA," the AIA Logo, "G702," and "AIA Contract Documents" are registered trademarks of, and the forms are produced by, the American Institute of Architects / AIA Contract Documents. PayAppCheck is not affiliated with, endorsed by, sponsored by, or certified by the American Institute of Architects or AIA Contract Documents.

4. Accounts

You must provide accurate, current, and complete information when creating an account and keep it updated. You are responsible for safeguarding your account credentials and API keys and for all activity that occurs under your account. Notify us at [email protected] immediately of any unauthorized use. You must be at least 18 years old and able to form a binding contract.

5. Subscriptions, billing, and auto-renewal

5.1 Plans and pricing. The Service is offered on subscription plans and API plans described at the point of purchase. The price, the billing frequency (e.g., monthly or annual), and the fact that the subscription renews automatically are disclosed to you clearly and conspicuously before you complete your purchase, and you provide express affirmative consent to those renewal terms at checkout.
5.2 Auto-renewal. Unless you cancel before the end of the current billing period, your subscription automatically renews for a further period of the same length, and Paddle will charge the then-current price for your plan using your selected payment method. Renewal and post-purchase confirmation details are provided by Paddle in a form you can retain.
5.3 How to cancel. You may cancel at any time, effective at the end of the current billing period, through the subscription-management link in your Paddle order receipt or the Paddle billing portal, through your PayAppCheck account settings where available, or by contacting [email protected]. Cancellation stops future renewals; it does not retroactively refund the current or past periods except as required by law or our Refund Policy.
5.4 Price changes. We may change subscription prices. We (or Paddle on our behalf) will give you advance notice of any price change before it takes effect, and the new price will apply from your next renewal. If you do not agree to the new price, you may cancel before the renewal date.
5.5 No refunds on unused periods. Except as required by applicable consumer law or as stated in our Refund Policy, fees are non-refundable and we do not provide refunds or credits for partially used or unused subscription periods.
5.6 Taxes. Prices may be shown exclusive or inclusive of tax; as Merchant of Record, Paddle calculates, collects, and remits applicable sales tax, VAT, or other transaction taxes.

6. Acceptable use and your responsibilities

You agree that you will:
(a)
keep your account credentials and API keys secure and not share them;
(b)
provide accurate information;
(c)
use the Service and API only for lawful purposes and in compliance with all applicable laws;
(d)
not exceed documented API rate limits, circumvent usage limits, or use the API in a manner that degrades or disrupts the Service;
(e)
not resell, sublicense, rent, or commercially redistribute the Service or its output to third parties except as expressly permitted in writing;
(f)
not upload documents you do not have the right to upload, or content that is unlawful, infringing, or malicious;
(g)
not attempt to reverse engineer, decompile, scrape, or gain unauthorized access to the Service or its underlying systems; and
(h)
not use the Service to train or develop a competing product or machine-learning model.
We may suspend or terminate access for breach of this section or to protect the Service, other users, or third parties.

7. Important disclaimer: please read carefully

PayAppCheck is software that extracts data, verifies arithmetic, and flags potential discrepancies. It is a calculation and review aid only.
PayAppCheck does NOT provide legal, tax, accounting, engineering, or professional advice, and nothing it produces constitutes such advice. PayAppCheck does NOT certify, approve, or validate any document, payment application, or figure, and its output is not an architect's or other professional's certification of payment.
Automated extraction and calculation can contain errors, including from poor scan quality, unusual or non-standard document formats, or ambiguous source data. You are solely responsible for reviewing and confirming every figure, calculation, and flag before relying on it. You must verify the output against your own source documents, your contracts, applicable state statutes (including retainage and prompt-payment rules), and your own accountant, attorney, or other qualified professional. Any decision you make using the output (including submitting, certifying, approving, rejecting, or paying a payment application) is your decision and your sole responsibility.

8. "AS IS": no warranty

To the fullest extent permitted by law, the Service and all output are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Service will be uninterrupted, error-free, or secure, or that any output is complete or correct. We do not warrant that the Service will detect every error, discrepancy, instance of over-billing, or front-loading in any document. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, and you may have additional statutory rights.

9. Limitation of liability

9.1 To the fullest extent permitted by law, in no event will Ludvig Bergerud be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, or for any financial, payment, billing, contractual, or business decision made in reliance on the Service or its output, even if advised of the possibility of such damages.
9.2 To the fullest extent permitted by law, the total aggregate liability of Ludvig Bergerud arising out of or relating to the Service and these Terms, whether in contract, tort (including negligence), or otherwise, will not exceed the total amount of fees you paid for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
9.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Intellectual property

10.1 Our property. Ludvig Bergerud owns and retains all right, title, and interest in and to the Service, including the software, algorithms, user interface, documentation, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription in accordance with these Terms.
10.2 Your data. You retain all right, title, and interest in the documents you upload and the data they contain ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service to you (including extraction, calculation, and generating output), to maintain and secure the Service, and as described in our Privacy Policy. We do not use Customer Data to train artificial-intelligence or machine-learning models.
10.3 Feedback. If you give us suggestions or feedback, we may use it without restriction or obligation to you.

11. Termination

11.1 You may stop using the Service and cancel your subscription at any time as described in Section 5.3.
11.2 We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or others.
11.3 On termination, your license to use the Service ends. Uploaded source documents are handled and deleted as described in our Privacy Policy. You are responsible for exporting any output you wish to retain before termination. Sections that by their nature should survive termination (including Sections 7, 8, 9, 10, 12, and 13) survive.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a revised "Last updated" date and, where required, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may cancel.

13. Governing law and consumer rights

13.1 Governing law. These Terms are governed by the laws of Sweden, without regard to conflict-of-laws principles.
13.2 Mandatory consumer rights. If you are a consumer, you benefit from any mandatory provisions of the law of the country in which you reside. Nothing in these Terms, including the governing-law clause, limits or affects mandatory consumer-protection rights available to you under the law of your country of residence.
